Because of the second point you asked about (see below).

Actually, it's very complex under the covers. But it's very easy for a user to use. The primary benefit is the ability to change a partition without having to back up the data, make the change, then restore the data. I used it most recently to shrink a 1G partition (where I keep my swap file) to 500M. I cut the partition size to 500M, slid the 500M to the end of the drive, and added the 500M that was freed up to the partition before it (where I store data). It took about 5 minutes, as I remember. And this was all from Windows with only one reboot. Try that with FDISK and FORMAT.
