Hank,

I'll add two names to the list.

Interactive Network (INNN) in August 1994 did a REG.S in a desperate move to avoid the clutches of TCI. The financing greased the skids and had them out of cash and out of business in 8 months.

Stock trades for 10 cents now, and anything better hinges on their lawsuit against Malone and the boys.

QDEK did one late last or early this year. I forget. Stock has been cut in half since, although there are other circumstances possibly in the price decline. Theirs did not seem to have the onerous details that some others have, that I have seen.

If anyone wants to watch a textbook case of a REG.S that was done as part of a scam, check out TWTI. My friend Kevin and a couple of others have already mentioned it, but it deserves to be looked at in detail.

One warning. These stocks can have short, sharp rallies that will scare the hell out of the shorts, and embolden the longs. So be prepared for volatility.

Dwight
