Another company notice for stockholders.

USMagneGas initiates sales of MagneGas for cutting gas purposes.

We are proud to announce initiation of direct production and sale of MagneGas
from our facilities in Largo, Florida.

Our subsidiary USMagneGas now makes available MagneGas to industry as a cutting
gas. Our initial target market is as a replacement for the more expensive, less
efficient and more harmful acetylene or its derivative MAPP gas. We believe our
product is superior to acetylene and MAPP gas in matters of safety and health,
work efficiency, rapidity of cut, and price.

From a price perspective, we are able to offer MagneGas at the rate of $0.15
(fifteen cents) per cubic foot as compared with acetylene, which ranges up to
twice that amount. MAPP gas tends to be priced higher than acetylene and is not
considered price competitive with MagneGas.

From a health and safety perspective, the black soot emitted from the use of
acetylene contains some of the most noxious fumes known. MagneGas emits no
black soot whatsoever and has minimum pollutants when burned. From the welder's
perspective, one of the main features of MagneGas is that when burned, it emits
between 10 to 12% oxygen. It is our hope that MagneGas becomes standard fare
for those that must work within confined spaces.

From an efficiency in cutting perspective, we believe MagneGas substantially out
performs acetylene. While the pre-heat time for both MagneGas and Acetylene is
about the same, MagneGas produces less slag and burns with a narrower cut
resulting in a smaller heat affected zone. The metal in the welding or cutting
process is not hardened thereby making it easier to machine. MagneGas can be
stored at higher pressures than acetylene and then regulated for use. For the
same job, less MagneGas and less Oxygen are required.

No extraordinary equipment is needed to switch from acetylene or MAPP gas to
MagneGas. The MagneGas user would need standard, off the shelf equipment
including a high-pressure regulator and a natural gas tip. There is no change
to either the braising or heating tips.

Safer to use, less expensive, more efficient: MagneGas is the world's answer to
metal cutting.
