Unit
Respected Industry Authority to Guide Company Expansion; Saratoga
Acquires Solvox Consulting Company

KIRKLAND, Wash., Jan 18, 2001 (BUSINESS WIRE) -- Saratoga International Holdings
Corp., (OTCBB:SHCC), a development level diversified holding company, has signed
an agreement to acquire all the shares of Processing Plus, Inc., dba as Solvox
Consulting Group., a leading telecommunications consulting company.

Solvox president Gene Retske is a well known industry expert, and author of the
best selling book, The International CallBack Book, An Insider's View. This
book, and Retske's subsequent writings in industry publications like
TeleCompete, which he also published, and Newsweek magazine, are credited with
helping to launch the worldwide telecom revolution. As a result of the
acquisition, Retske becomes president of the Saratoga subsidiary which will
oversee all of Saratoga's telecom operations.

Retske will become the president of Saratoga Telcom Management Corp., the
Saratoga International subsidiary charged with overseeing the operations of all
Saratoga telecom holdings, current and future. In this position, he will not
only guide the current operations, but will work on new acquisitions. As
expansions occur, Retske will manage the integration of old and new operations
to operate at maximum efficiency. Solvox will continue to work with emerging
telecom companies around the world in managing their operations, expansion and
developing corporate strategies.

Retske is a nearly 20-year veteran of the Bell System/AT&T. Since leaving in
1992, he has been involved in the startup of new generation telecom companies,
including IDT, NETnet, and other smaller companies. He founded International
Insider Reports newsletter, which was a pioneer in providing information
services to emerging carriers, and produced a very successful series of telecom
trade shows in Europe and the US. In addition to writing and editing TeleCompete
magazine and International Insider Reports, both highly acclaimed publications,
