Top Box Media to Deliver Home Automation Pre-Wire and Integrated Home Theater Component Systems Through Innovative Business Opportunity Strategy

Media Concepts Inc. (OTCBB:MDCE)(NQB pink sheets:MDCE) and Top Box Inc. (a privately held corporation) today announced that they have formed a joint venture, entitled Top Box Media.

The venture will extend both companies' current activities in technology and media by delivering home automation pre-wire and integrated home theater component systems via a business opportunity sales and installation network.

The strategic plan underpinning Top Box Media calls for comprehensive marketing of Media Concepts' installation hardware and design technology. Top Box Media will package and deliver home automation and entertainment systems at both the builder and consumer levels, while providing a significant business opportunity
for entrepreneurs.

Media Concepts' "color coded" pre-wire system for builders will enable them to capitalize on the $3 billion home automation wiring market(1). The home theater pre packaged systems currently available through www.homtheater.com and the V Box and other component innovations provide consumers easy-to-install,
high-quality components at several price levels. The business opportunity to be announced shortly will empower business owners to move quickly into this exploding arena.

"This joint venture is a strong step toward executing our home theater strategy," said Erik Vidrio, president, Media Concepts. "Our experience is in developing user-friendly pre-wire systems for builders and a home automation and
entertainment environment that meets the needs of the consumer. Media Concepts and Top Box will work to transform the ease with which builders can install pre-wire for home automation and deliver a home theater system that consumers can both understand and easily enjoy. We expect the business opportunity
strategy to encourage entrepreneurs from all over the country to actively participate in the growth predicted by the experts."

"We are very pleased to enter into this alliance with Media Concepts, whose management has one of the most qualified perspectives in the exploding 'wired home' arena," said Glenna Wiseman, president/CEO, Top Box. "The combination of their technology and hardware experience with our marketing and sales acumen is
a potent alliance for profitability in this sector. Top Box Media will espouse the consumer's point of view in the 'teching up' of their most intimate environment, their home. Our commitment is to deliver high value for the builder
and consumer and strong revenues for our companies."

The home automation arena has been described as the "last IT frontier." Analysts point to several drivers contributing to the buoyant growth predicted in this segment of the economy. Those influencers include the number of households utilizing the Internet, the increased use of the home for business activities, the increased number of consumers with a PC in the home, the lowering of price points at the consumer level for home entertainment components, the convergence of home entertainment options into fewer devices and the growing array of
hardware options enabling the home to interact with the consumer. Of the three primary consumer uses for home automation -- entertainment, communication and security -- Top Box Media is targeting entertainment primarily and through its integrated theater systems will provide the wiring and "brains" needed for other
automation needs.

Approximately 1.5 million homes are built each year, with Parks Associates predicting that 14 percent of new single family homes built in 2001 will have structured wiring. The Yankee Group projects that 10 million U.S. homes will have networks by 2003, with the Cahners In-Stat Group projecting worldwide home
networking to grow to a $5.7 billion market by 2004. Installation of broadband driving Internet usage is expected to grow to 49 million users by 2003 up from nine million in 2000 (Cahners In-Stat Group). Experts project continued
double-digit growth for consumer electronics, now a $60 billion annual market; the Consumer Electronics Association estimating that more devices will be launched from 1998 to 2003 than during the entire previous history of the industry.
