B: C-Cube Microsystems Confirms Spatializer as the Preferred Provider Of
Virtual Surround Sound Technology in C-Cube's Existing Semiconductor Products

Spatializer Audio Laboratories Inc. developer and marketer of the defacto
standard for virtual surround sound, announced that C-Cube Microsystems has
extended its license and distribution agreement with Spatializer through July 1,
2004.

"Spatializer is C-Cube's preferred provider of virtual sound technology and we
are pleased to further extend our relationship," says Umesh Padval, president
and CEO of C-Cube. "We currently include Spatializer N-2-2(TM) in all our
market-leading ZiVA(R) family of decoder ICs for DVD audio and video players. We
look forward to demonstrating future Spatializer developments through our
industry leading ZiVA DVD decoder ICs." C-Cube's ZiVA decoders are currently
being used in DVD players from several consumer electronic giants, such as
Samsung and LG Electronics, and is braced to extend its dominance with the
industry's first complete DVD system processor, ZiVA-5.

Under the new agreement, C-Cube OEM customers will now pay royalty fees directly
to Spatializer for use of its audio enhancement technology. Spatializer's
Chairman and CEO Henry R. Mandell explains that this was done to facilitate the
licensing of multiple feature set options which Spatializer expects to offer in
the future and to further C-Cube's competitiveness in the DVD decoder market.

C-Cube is a worldwide leader in digital media processing and is leading the way
with new communication processors and networked consumer products. With a focus
on DVD, set-top boxes and codec-enabled products, C-Cube is driving the
technology for the "networked digital home."

The DSP-based Spatializer N-2-2(TM) software used by C-Cube features proprietary
psycho-acoustic optimization algorithms, enabling it to reproduce the spatial
realism of 5.1 channels of Dolby Digital(R) through just two standard speakers.
Designed to enhance the listener's entertainment experience, the Spatializer
software delivers an ultra-wide, deep and robust optimal listening area (sweet
spot).
