Aloha Mike: What I was trying to suggest is that the primary purpose of the IPO (as I understood it) was not to raise money in the IPO itself (although that would happen) but to establish what the market valued the Spin Co in dollars.

In other words, there is no easy way to value what Spin Co is worth right now.

If there is an IPO, there is stock traded which will indicate what the company (Spin Co) is worth in the eyes of the market.

And this would give Qualcomm management a real basis for determining the value of the spin off of that part of Qualcomm as a "dividend to stockholders" - the spin off itself.

(Hey, I'm not sure about this, just thinking out loud)
