By certificate of amalgamation dated Oct. 11, 2000, Prospectors Alliance Corp and International Larder Minerals Inc. have reorganized. The reorganization combines their businesses and assets with those of three private companies: Explorers Alliance Corporation, 1338756 Ontario Inc. and 1232448 Ontario Inc. through a series of share acquisitions and amalgamations.
Upon the amalgamation of Explorers, a private company, and International Larder, the following has occured.
The holders of common shares of International Larder received 0.1965 of a Prospectors common share for each International Larder share held; and
the holders of common shares of Explorers, a private company, received 0.7363 of a Prospectors common share for each Explorers share held.
Prospectors received the common shares of the company resulting from the amalgamation.
Prospectors subsequently amalgamated with the amalgamated company and changed its name to Explorers Alliance Corporation and consolidated its shares on a one-new-for-four-old basis.
The effect of all the foregoing steps was to combine the assets and liabilities of Prospector International Larder and three private companies.

Effective at the open Jan. 29, 2001, the common shares of Explorers Alliance Corporation will commence trading on CDNX and the common shares of Prospectors Alliance Corporation will be delisted. The company is classified as a metals and minerals mining company.

Capitalization: Unlimited common shares with no par value of which 20,072,761 common shares are issued and outstanding
Escrowed: Nil common shares
