in addition to the microsoft troubleshooting article that was posted to you (which assumes, as do i, that you are running win98), you may wish to try these two items:

Here's a work-around....

Create a new shortcut on the desktop, Name it "ExitWindows". Right click the icon, click on properties, and in the box named "Target" type the following line.

C:\WINDOWS\RUNDLL32.EXE user.exe,exitwindows

In the box "Start In", type C:\WINDOWS, then save it.

To exit, just double click the icon."

Also ....

Are you on a cable modem, network hub, or have a secondary Operating system? More likely your kernell32 file is corrupt. when was the last time you ran scanreg.exe if not sure, type scanreg in the RUN window of the 'start'.
