Dear Stu: I'll let you know in about 2 weeks when I get all my tax information. I'm in one state and my tax things, another right now.

Before I actually take a look, here's my impression: The cash we got is not to be taken into account when determining our cost basis in VRTS. Basically, we pay tax on the entire amount of the cash received right now then use our total investment in SEG to obtain our cost basis in VRTS.

Let's say your total investment in SEG was $10,000. It should continue to be $10,000 now in VRTS, using the same dates the SEG shares were purchased when it's time to sell. Well, not exactly $10,000 since the cash in lieu get's deducted.

Anyway, as soon as I get my papers I'll let you know for sure.

Regards,

Lynn
