2000 complete financial package out on 16 Feb.
2001 Q1 quarter results out by last week of February.

Lunke Spain.

The minority shareholder has put their share of Lunke Spain to Ventra, meaning Ventra has to buy it. The reason Ventra has asked for arbitration is because the asking price is probably high and Ventra is having a hard time trying to finance it.

Arbitration can take up to one year to complete. If Ventra loses arbitration then they will only get a nominal amount for selling their share to the minority shareholder.

This sound like the Lunke Spain minority shareholders are sticking it to Ventra and trying to get Ventra's share on the cheap. They know Ventra can't afford to finance the purchase and they probably know that Ventra's arbitration will be unsuccessful. Ventra is the foreign company and will be perceived as the bad guy in any arbitration. I'm sure there will be some greased palms here.

I don't understand why the Texan shotgun partnership was not implemented here. If the Spain minority want X amount for their share and Ventra doesn't want to buy then the minority has to pay Ventra the equivalent amount for their share. What's this nominal crap all about?

Otherwise things sound real good.

The company will sell off non-core assets and reduce debt. New management incentives will be profit based not revenue as the previous ones.

Peterborough operation is turning around and will be profitable in 2001.

Ventra exposure to Chysler is not significant and 70% of the suppliers have balked at the 5% price reduction. Also Chysler is now changing their tune a little, so a negotiated settlement will have to be accomplished.

The reserves for the German exposure is adequate and was taken in fiscal 2000, there should be no additional losses in 2001.

The Ventra train is finally on the track and I believe that we will all be pleasantly surprised with the Q1 report.
