a designated security is any bulletin board that trades under 5 dollars..it cannot be solicited by any broker or promoter for any reason under any circumstances...anyone wishing to buy it must do it on an unsolicited basis,, and in addition the brokerage firm must also secure a letter from the customer that he or she understands that the security trade is unsolicited and noone has solicited them to buy it..and they know that they most likely will lose their money...

In other words you must sign a letter stating that you know it is a turd nugget and that it will be difficult rolling it uphill because its a soft nugget.
