You have to wonder if NT's Roth knew of their slowdown, but waited until after the exchange of NT stock for the Zurich plant.

If he announced the warning prior to deal closure, NT's stock would have plummeted, and NT would have had to give out more shares to reach the 2+ billion purchase price.

I guess we'll never know, but it seems pretty fishy....
