Hi rrufff - I think the CTO position may lend it some buffer. True that a company has the obligations to disclose anything that may materially impact the company, and a CTO may very well have assess some sort of financial data, it can be argued that the position does not entail day to day operation. If the recent bomb shell is indeed news to NT mgt also, it is difficult to pin it on the CTO departure. If memory serves, he is a BAY veteran originally from DEC, and he seems to have an uncanny ability to maximize his options. It doesn't look good, but so long as he was doing legally, it is just difficult to use it against him.

I think JDSU is indeed between a rock and a hard place. NT is a major customer. JDSU is holding some 65MM shares of NT stk, with another 15MM to come. If NT is hurting, JDSU is hurting too! My guess is that it may try to negotiate a out of court settlement with NT even before any motion is filed.
