The Canadian Venture Exchange has accepted for filing documentation with
respect to a non-brokered private placement announced Dec. 29, 2000:
No. of shares: One million special warrants
Purchase price: 15 cents per special warrant
Description: Each special warrant is exchangeable, at no additional
cost, into one flow through common share of the company
and one-half of one non-transferable share purchase
warrant. Each whole warrant entitles the holder to
purchase one additional common share of the company at
an exercise price of 20 cents per share for a period of
one year from closing.
Placees: Three placees
Insiders: McGillicutty Management Corp. (Donald McInnes), 200,000
Finder's fee: A finder's fee is payable to Canfund Ventures
Corporation (Doug Johnson) in the amount of $7,500.
These securities have not yet been issued. The company must issue a news
release if the private placement does not close promptly. Note that in
certain circumstances the exchange may later extend the expiry date of the
warrants, if they are less than the maximum permitted term.
