Dennis,

With respect to averaging down, I believe any price under $1 would be the best bet. The filing following the Atari-JTS buyout/merger notes that both Mitchell and Tandon each borrowed $1million from the then private JTS to buy 1 million shares of JTS @ $1 per share, so far as I know both are still long this additional stock. I am of the firm belief that JTS management is not concerned with the individual shareholders plight (the reg-s stock deals are a prime example) and will only become pro-active when their own financial interests are threatened. A good example of this is the proposal to allow options given to key company employees at strike prices in the $3-4 range to be adjusted to reflect the current market prices. Who would that benefit?

Dan
