Well I'm not an accountant either, but I did design a program currently used to calculate diluted shares for over 400 public companies, so I as sure as hell better be right on this. <g>

The standard here is set by FAS 128. If a company is not profitable on an operating basis, they report only basic shares outstanding. The reason for this is that if a company is making a loss, having more shares outstanding reduces the loss per share, and so only the more "conservative" basic shares number is reported.

It's one of the traps for the unwary in valuing money-losing biotechs. <g>
