Carnegie Cooke Enters Into Manufacturing and Distribution Agreement

LOS ANGELES, Dec 19, 2000 /PRNewswire via COMTEX/ -- Carnegie Cooke & Company, Inc. ("Carnegie Cooke")(OTC: CGKY) today announced the signing of an agreement with Master Play SA ("Master Play"), an Argentinean company, which manufactures and distributes virtual reality gaming equipment and software. The agreement calls for the formation of two Brazilian companies which will be owned 50% each by Carnegie Cooke and Master Play.

Company #1 will manufacture machines for "Virtual Reality Horse Racing" (VRHR) one of Master Play's exclusive properties for which it has international registration.

Company #2 will distribute the machines and administer their daily operations and account for Carnegie Cooke's and Master Play's percentage of revenue generated by these machines.

Initially, the manufactured machines will be installed in the 120 agencies which Carnegie Cooke has contracted for in Brazil. In addition this agreement grants Carnegie Cooke the exclusive right to distribute and operate these machines not only in Brazil but also in Mexico and North America.

Carnegie Cooke & Company, Inc. is the exclusive service provider of simulcast transmission of international racing events throughout Brazil and other South American countries. Carnegie Cooke Granted Exclusive Agency Rights in Brazil

("Carnegie Cooke") (OTC: CGKY) today announced the signing of a Contract with the Brazilian Association of Jockey Clubs (BAJC) that grants Carnegie Cooke the right to open 400 racing agencies throughout Brazil. This contract, which has been approved by the Brazilian government, was unanimously approved by BAJC at its nation wide convention held in December 2000.

Carnegie Cooke & Company, Inc. is the exclusive service provider of simulcast transmission of international racing events throughout Brazil and other South American countries, and is the exclusive distributor and manufacturer of Masterplay Virtual Reality Racing Machines in Brazil, Mexico, and North America.
