I find it surprising that you would blame pooling of interests for "misleading shareholders", when the alternative, purchase accounting, is incredibly misleading as well.

First, you get a huge, intangible item on your balance sheet (goodwill), and then you get regular ammortization of that goodwill distorting earnings results, when it is not at all clear that "book value" represented the true value of the acquired assets in the first place.

For example, look on the Redback Networks thread, and see how many people are confused that Redback is trading in the teens, when book value is in the 30s. That is the distortion that purchase accounting can cause.
