Vishay (VSH) has not yet completed the take over of Siliconics (SILI) and today announced another takeover of General Semiconductor.

Vishay proposes to buy General Semi in stock swap

proposCC:CGeneral Semiconductor (NYSE:SEM) in a stock swap, saying such a combination would enable both
firms to cut costs and streamline operations amid a downturn in the chip sector.

In a letter written by Felix Zandman, chairman and chief executive of Vishay to General Semiconductor Chairman and Chief
Executive Ronald Ostertag, Zandman proposed that General Semiconductor shareholders receive one newly-issued Vishay
share for every two General Semiconductor shares.

Based on General Semiconductor's 49 million diluted shares outstanding as of Dec. 31, the deal values Melville, N.Y.-based
