Take over considerations......in the semi-group.

If one looks at the price VSH is paying (offerring) for SEM (General Semi), the first thing to notice that there is no premium to the closing price of today. Two shares of SEM ($9.50) for one share of VSH ($19.00). If VSH pulls this off it has implications for other Semi Companies that may be acquired. The concept of no premium to current prices will leave many investors with a bitter taste to overcome. Even the poison pills that were put in place to protect the shareholders could work against the shareholders interests.Here's how. Say a company is trading at $25.00 a share. Buyout offer is for 27 or 28 dollars a share. Poison pill may go into effect as suitor company is rebuffed. The stock of the company being bought out tanks to under 20. The lawyers bring on the class action suits. (something like IBP this past week)

Just something else to worry about till the market opens tomorrow.
