John I'll give it a shot here...however I'm not sure I fully understand the question.

Yes the merger is a go, I'd be an amazed puppy if it didn't happen.

Now once the merger is completed USRX shares vanish and you have 1.75 3Com share for each USRX share. You should end up a bit better off in value with the COMS shares because the USRX shares actually trail COMS by a factor equal to the cost of commissions.

There really is no hit as you say for COMS purchasing USR, this is because it is really a trade or a simple barter of exchanging things of value. COMS will end up with an asset which will generate income faster than those shares it will pay. Thussly COMS becomes worth more...therefore it's value will increase.

From watching the ASND/ CSCC merger I say USRX will be gone by the end of the month...maybe a bit longer.

Of course all this is just my opinion, SO I throw this in too. I see COMS reaching a price around 70 by years end.
