Sensar to be delisted from Nasdaq, explores investment options


SALT LAKE CITY, April 5 (Reuters) - Sensar Corp. <SCII.O>, facing a delisting from the Nasdaq SmallCap Market on April 11 for a lack of tangible business operations, said on Thursday it is exploring investment options and attempting to qualify as a business development company.

To make the transition to a business development company, Sensar said it will need to cancel or otherwise terminate all outstanding stock options. If Sensar is unable to meet the necessary requirements, it may attempt to register as an investment company, subject to what the company called "significantly more burdensome" restrictions and regulations.

If both options fail, the company said it would acquire an operating business or liquidate its assets. A merger with Net2Wireless fell through in December.

Sensar said it would not appeal the Nasdaq delisting, and said it expects its common stock to trade on the OTC Bulletin Board. Its fall, 2001 shareholders meeting has been rescheduled, with the time and date to be announced at a later date.

Shares of Sensar closed at 21/32, down from a 52-week high of $46-1/2.
