SICAS Recommends Mandatory Disclosure _______________________________________
Earlier last week the TSE's Securities Industry Committee on Analyst Standards (SICAS) issued a draft report containing recommendations aimed at improving the independence of research and ensuring the professional practice of securities industry analysts. The bulk of the recommendations focus on mandatory disclosure of conflicts of interest in research materials, to enable investors to effectively judge the objectivity of research. When disclosure fails to mitigate a serious conflict of interest, the committee recommended the abolishment of certain practices. Q: What is a firm commitment offering? __________________________________________
A: A firm commitment offering usually involves the purchasing of of a brand new issue in a public offering. The underwriter must commit to this and thereby assumes the full risk. This is in stark contrast to the situation when an underwriter commits to selling maxiumum quantities of the new issue but cannot make any guarantees that the entire offering will be purchased. This frees the underwriter from any liability.
