Ed, re your concerns:

1. Sky Dayton may have founded ELNK, but he doesn't run it. Garry Betty (from the ELNK side where he was CEO) and Mike McQuary (from the MSPG side where he was COO) run the business. Dayton only came back as Chairman when MSPG founder Charles Brewer decided to move on.

2. Goodwill does not increase on the books due to "appreciation of assets", but rather as a result of additional acquisitions.

3. Don't know how you figured your breakeven point, but several analysts have noted that 4-5 million subscribers is the range where margins improve and profits accelerate due to economies of scale. Betty also noted, in his CNBC appearance this morning, that 5 million subs is about the point where AOL became profitable. He also reiterated the companies guidance for profitability by Q4.
