U.S. Robotics and 3Com shareholder meetings are scheduled
simultaneously for 1100 CDT.

Q: When will the merger be completed?

A: The merger is expected to be effective on or shortly after
the special meetings of shareholders on June 11, 1997.

Q: What date or stock price will the exchange of my USR shares
be based on?

A: The exchange is based on a "fixed" exchange rate of 1.75 share
of 3Com common stock for each share of USR common stock. For
example, if you own 100 shares of USR (NASDAQ: USRX), following
the completion of the merger you would own 175 shares of 3Com
(NASDAQ: COMS). Formula: 100 shares of USRX x 1.75 = 175 shares
of COMS.

Q: When will USR shares be converted into 3Com shares? How are the
shares converted?

A: When the merger becomes effective, The First National Bank of
Boston will mail a letter of transmittal with instructions to
all holders of record of USR common stock for use in exchanging
USR stock certificates for shares of 3Com common stock and a
cash payment in lieu of fractional shares, if any. USR stock-
holders should NOT send in their certificates until they receive
the letter of transmittal. Upon completion of the merger, USR's
common stock will no longer trade on the NASDAQ National Market
under the symbol USRX, as all USR common stock will become 3Com
common stock.

Q: If I am a 3Com shareholder, do I have to do something with my
shares once the merger is completed?

A: No.
