AMD hasn't indicated that it intends to convert either of its current Fabs to 300mm. I don't know the requirements of doing such a conversion, however.

How much would Fab 35 cost?

$2bn+ ;-)

It all depends on what kind of package AMD can get from local governments. Fab30 cost almost $2bn, where ~ $1bn was provided by the Saxony government as extremely attractive loans.

Another problem with 12" is, where are you going to get wafers from?

By the time AMD gets Fab35 going, 12" wafers shouldn't be too hard to come by. In any event, they have plenty of time to make arrangements for this kind of thing. Remember, it typically takes around 3 years from ground-breaking to final production status is reached.
