Here's the deal:

If more than 90% of all shares are tendered, then LSI
can unilaterally merge CUBE into LSI without a
shareholder vote. If less than 90% of the shares are
tendered, even if more than 50% of the CUBE shares are
tendered to LSI, a shareholder vote is required to
approve a CUBE-LSI merger.
