Benny, if the bonds are called when the stock is trading at over $13+ something, the conversion price, they will be converted by the holders. MRVC will issue stock to the bond holders and the debt will be retired. It will NOT cost MRVC any money out of pocket to call the bonds and thus essentially FORCE conversion.

If the bondholders fail to exercise their right to convert their bonds when the stock trades over the conversion price they would be losing money. That is why they will convert.
