NOTICE TYPE: Special Warrants into Units / EOP Accepted
NOTICE DATE: June 11, 1997

The Company's Exchange Offering Prospectus dated June 3, 1997 has been filed
with and accepted by
the Vancouver Stock Exchange, and filed with and receipted by the B.C.
Securities Commission on June
9, 1997, pursuant to the provisions of the Securities Act (British Columbia).

Effective Date: June 9, 1997

Conversion Date: June 16, 1997

Agent: Whalen Beliveau & Associates Inc.

Offering: 3,000,000 units. Each unit consisting of 1.1 shares and 1.1
non-transferable share purchase warrants.

Private Placement Price: $0.50 per unit.

Warrant Exercise Price: $0.50 per share (1st year) & $0.58 per share (2nd year).

Warrant Expiry Date: November 26, 1997 & November 26, 1998.

Agents' Warrants: 165,000 non-transferable share purchase warrants, exercisable

at $0.50 per share until November 26, 1997 and at an exercise
price of $0.58 per share until November 26, 1998.

The Offering is a special warrant conversion and all the units are being issued
to the private placees of
the special warrants.
