It's just a question on how IJ and Qcom spin it.

Mika, you are a clever punster. Dr. J. will spin Spinco. Because QClassic will not be a manufacturer after Spinco is spun, it will need no IPR from anyone. Spinco is being thrown out into the big bad world with a portfolio of IPR as its inheritance. The rationale is that Spinco can trade that IPR for whatever IPR it needs. Because the deal is that Spinco won't pay QClassic any royalties, Spinco should have a nice cost advantage over competitors.
