I pulled the following, about Micheline Baron, from the PNLK Annual Report for FY ending 6/30/00, as supplied by Mark. It can be found on page 21 under the "Recent Sales of Unregistered Securities" section:

"In December 1998, under a Security Exchange Agreement between Pro Net Link and Micheline Baron, Pro Net Link issued 1,056,150 shares of Common Stock, pursuant to an exemption from registration under Section 3(a)(9) or 4(2) of the Act, to Ms. Baron in exchange for the surrender to Pro Net Link by Ms. Baron of a Pro Net Link Promissory Note in favor of Ms. Baron, which at such time had an outstanding principle balance plus interest of $211,230."
