HomeSeekers.com has re-structured its existing agreement with pp.com in Asia, as pp.com merges with iShowFlat.com and has entered into an agreement with iShowFlat for non-exclusive marketing of the Company's technologies in Asia. As a result of negative general market conditions in Asia, pp.com has elected to merge with iShowFlat in a stock-for-stock exchange. All of HomeSeekers 1.6 million shares in pp.com will be converted to iShowFlat shares, at which point HomeSeekers.com will own approximately 11% of iShowFlat. As part of this re-structuring, HomeSeekers.com has terminated pp.com's exclusive agreement for the development and marketing of HomeSeekers technology in Asia. Under the restructured two-year agreement, HomeSeekers has engaged iShowFlat as a non-exclusive agent to market its technology in Asia. iShowFlat has paid HomeSeekers $200,000 in cash for the non-exclusive agency rights. Additionally, pp.com has agreed to pay HomeSeekers a one-time fee of $800,000 in lieu of the $1.6 million technology fees due under the original agreement. The one-time fee is in the form of a promissory note, which will be assumed by iShowFlat at the consummation of the merger of pp.com and iShowFlat.

HomeSeekers.com announced that it has completed the sale of the remainder of its Pacific Northwest print publications, located in Bozeman and Whitefish, Montana, and in North-Central California. HomeSeekers.com had announced its intentions to divest its print publishing operations. The sale, to two separate privately owned companies consisted of part cash paid at closing and some future consideration. The magazines will retain the HomeSeekers name, and the buyers of the magazines have also agreed to sell the Company's Lightning Agent Websites, with links from the magazines, over a five-year period. The sale of its publishing operations is part of a strategic move on the part of HomeSeekers.com to focus on its core competency of providing technology tools, products and services to the real estate industry, and to streamline its operations while the Company concentrates on driving toward cash-flow profitability.

HomeSeekers.com announced a deep strategic and technology relationship with The Realty Alliance. Under the agreement, HomeSeekers will become the preferred provider of technology solutions to the Realty Alliance members and their agents, and The Realty Alliance and HomeSeekers will jointly market and distribute technology solutions to that group. HomeSeekers.com will also develop, host and maintain the Realty Alliance national real estate web portal.

HomeSeekers.com announced that it intends to request a hearing to appeal the pending delisting of its Common Stock from the Nasdaq SmallCap Market. On January 11, 2001, the Company received a Nasdaq Staff Determination letter that indicated that it had failed to maintain a minimum bid price of $1.00 per share over the previous 30 consecutive trading days. The Company intends to request a hearing before the Panel to review the Staff Determination. The Company anticipates that this request for a hearing will stay the delisting action pending the issuances of a written determination by the Panel. There can be no assurance that the Panel will grant the Company's request for continued listing on The Nasdaq SmallCap Market or that the Common Stock will be approved for listing on another organized market.

HomeSeekers.com announced that it has completed the sale of its Pacific Northwest print publication. HomeSeekers completed the sale of its HomeSeekers magazine that served the Eugene, Ore. area to a privately owned company. The total sale price was $350,000, consisting of a combination of $225,000 cash and the balance in future consideration whereby the buyers will market HomeSeekers' Lightning Agent Websites, with links from the magazine, over a five-year period. The Company continues to seek to divest its Orlando, Fla. magazine. The sale of this publishing operation is part of a strategic initiative being implemented by the Company's management to focus on its core competency of providing technology tools, products and services to the real estate industry, and to streamline its operations in its ongoing effort to achieve cash-flow profitability.

eBay, an online trading community, announced that it has signed a new marketing agreement with HomeSeekers.com. Through this agreement, eBay and HomeSeekers will jointly create a new advertising mechanism targeted at enabling brokers and agents to position their home listings in the real estate section of eBay, eBay Real Estate. The companies will immediately begin work on site development, with the anticipated launch of the program scheduled for the first quarter of 2001.

November 7, 2000

HomeSeekers.com announced that it has signed a multi-year agreement with Deco, LLC, a company comprised of real estate brokers in New York City, to provide ongoing real estate listing management technology and related services. The New York City system is initially projected to serve approximately 2,600 agents with an average of 10,000 active listings, including properties for sale and rent. Those agents will use HomeSeekers.com's XMLSweb technology to share listings and manage information flow between offices. The three-phase installation is projected to begin immediately and is anticipated to be completed in the summer of 2001.

October 11, 2000

HomeSeekers.com announced that it has signed a multi-year agreement with the Westchester, New York Multiple Listing Service (MLS), serving Westchester and Putnam counties. Under the agreement, Westchester MLS will utilize HomeSeekers' XMLSweb. HomeSeekers expects to install approximately 5,000 Westchester agents with the newest version of XMLSweb MLS technology as well as its XMLSpc product.

October 10, 2000

HomeSeekers.com announced the signing of a multi-year technology agreement with the Multiple Listing Service of Northern Illinois, a large MLS organization. The agreement calls for MLSNI to utilize HomeSeekers' XMLSweb product to serve its real estate professionals. HomeSeekers.com will provide a parallel MLS system for Internet connectivity that is valued at over $1 million in a two-year agreement.

July 14, 2000

HomeSeekers.com announced the acquisition of privately held IRIS LLC, a provider of productivity software to real estate professionals. The IRIS suite of real-estate productivity tools will be integrated with HomeSeekers.com's XMLSWeb Internet MLS system and all of its other real estate productivity software. IRIS Lightning products will also be integrated with the Company's Website, allowing agents to upload listing data from their workstation or lap top to the HomeSeekers.com real estate consumer site.

HomeSeekers.com announced an agreement to acquire equity in, and enter into an operating agreement with Hong Kong-based the Property Portal! Limited (PP.com). HomeSeekers.com will receive equity in PP.com and provide technology targeted to advance the expansion of PP.com throughout China, Hong Kong, Taiwan, Singapore, Malaysia and Thailand. HomeSeekers.com will acquire approximately a 20% interest in PP.com. HomeSeekers.com will issue 1.6 million shares of its common stock and warrants to purchase 1 million shares of HomeSeekers.com common at $7 per share.

The agreements are with the Southern California MLS; The Greater New Jersey MLS of Southern New Jersey; RealMatrix of Eastern Michigan; MLS of Naples, Florida; and St. Petersburg, Florida Suncoast Association of Realtors. Membership in these MLS organizations amounts to approximately 30,000 real estate agents.
