Max, I guess the thing I'm not clear on is whether the law protects the corporation. It seems pretty clear that officers are protected personally, but I don't see how a corporation is covered.

Maybe there is something I'm not missing. The Board of Directors is the ultimate power in the corporate chain of command, and they ultimately bear the responsibility of the actions of the CEO and anyone else, IMO. That opens things up to shareholder lawsuits, IMO.
