Mr. Cala is RATHER Specific here. That's part of the problem. I do think in hindsight since it was a Pre 14A
that perhaps he be given a day or twoish. But the real problem here is Mr. Cala continues to make promises and
then on a predictable basis miss by a few days, and then come through after he has damaged the stock price. Maybe we should start FLIPPING on Announced news runnups and buy back after the FAILED DELIVERY and then sell on the runnup
once he finally delivers. Instead of saying on June 5th at HH:MM he should have said in the month of JUNE. Now he has a 30 day window to deliver.

NOTICE IS HEREBY GIVEN that a Meeting of Shareholders of Cala Corporation, an Oklahoma corporation (the "Corporation"), will be held at 6:30 p.m. (PST), June 5, 2001 at 2N. First Street, Third Floor, San Jose, California 95113, for the following purposes:

1. To elect directors of the Corporation to hold office until their successors shall have been elected and shall qualify;

2. To approve the adoption of a stock option plan;

3. To ratify the appointment of Roger Castro, C.P.A. as independent public accountants for the Corporation;

4. To ratify the change of name of the Corporation to Cala Corporation;

5. To authorize the change of domicile of the Corporation from Oklahoma to Nevada;

6. To authorize the increase of authorized Common Stock to 100,000,000; and

7. To transact such other business as may properly come before the meeting.

Only shareholders of record at the close of business on May 3, 2001 are entitled to notice of and to vote at this meeting and any adjournment thereof. Such shareholders may vote in person or by proxy. The stock transfer books of the Corporation will not be closed.

Shareholders are invited to attend the meeting in person. Whether or not you plan on attending the meeting in person, it is important that your shares be represented and voted at the meeting in accordance with your instructions. Therefore, you are urged to fill in, sign, date and return the accompanying proxy in the enclosed envelope. No postage is required if mailed in the United States.
