Mr. Robert Pincombe reports
The company has arranged a private placement of 500,000 common shares in
the capital stock of the company at a price or 10 cents per share, together
with warrants entitling the holders thereof to purchase an additional
500,000 common shares in the capital stock of the company at a price of 10
cents per share up to a period of two years from the payment day. The
private placement common shares and the common share forming the warrants,
if exercised, are subject to a hold period in accordance with Securities
regulations.
The proceeds of the private placement will be used for general corporate
purposes.
This private placement is subject to regulatory approval.
