Mostly because it is so stated: These Notes will be convertible into COR Therapeutics common stock at a price equal to $40.10 per share, subject to adjustment in certain circumstances. The last part of the sentence refer to splits and other adjustments (dividinds, god forbid...<g>), not a change of the conversion price with the movement of the stock. I am sure that if you read the rest of the full document, it will state what these adjustments might be. Zeev
