SHEPHERD AND STARK (frequent convertible owners)

I found the following in the Telular S-3 which leads me to believe
Shepherd is a "subsidiary" of Stark. i.e., they are one and the same...

the following leads me to think Michael Roth is the Stark/Shepherd
"Manager" while Eleazer Klein is their Legal Counsel.
