That description of the product and its features, though not mentioning Norris, leaves no doubt in my mind that this product will be made by Norris (in part or in entirety) for Dictaphone. Virtually all of Dictaphone's products are outsourced. Dictaphone will be incorporating this into their office telephony products for the complete office package. Though I haven't verified this, others who confer with me have said there is a news blackout by the co.. I have become aware of the fact that the co. is doing an equity financing with an L.A. merchant banking (investment banking) firm in the amount of $ 5 million dollars. $1.4 million will be used to pay off the note with CVD due Oct. 96 and the rest for operations and expansion. This will bring the # of issued shares to approx. 25 million. The annual shareholder's meeting will probably be announced and held prior to 7-31-96 with the request of expanding the number of shares to 60 million. This does not mean 60 million will be issued. The 35 million others (including a new class of 5 million preferred) will be held by the co. for meeting the obligations of warrant and option holders and/or future secondaries or p'vt. placements as needed. Some faxes I've received questioned whether Intel's minicard (chosen by Dictaphone) would exclude any participation by Norris with Dictaphone. The answer is no. The FlashBack does and can use Intel's flash in their clip. I would guess that the delay in Norris' name being unstated in the Dictaphone release may have something to do with the pv't. placement now underway. I have been reviewing data on the operating system owned by m-systems. At present no independent entity has run any tests on either of these systems. Because it's probably going to be a well guarded secret, the only way analysts and others are going to determine efficacy is by seeing which OS the manufacturers of products are going to use. The original CFO, Pete Gorrie, had said in the FEB-MAR period that Norrf would be cash flow + by the 3rd Qtr. If Dictaphone plans on a 1st qtr. 97 release date, Norrf will have to be doing a lot of production for them starting in our 3rd qtr., Sept.96. I'm still working on trying to discover the source of all that stock that came to market in May and part of June to push the stock down intraday to 7/8. If I can get a handle on that one, I'll report same. I do not believe it was anyone going short. These short blips such as the May-June period will be miniscule when one looks back in time once this stock moves. It would not surprise me to see Intel and Norris ink an agreement. Intel will be putting flash memory bios into the computer's main bios. This is not unlike how EIDE hard disks no longer needed an onboard controller when Phoenix, AMI, and others with Intel's assist put the HD IDE bios into the computer's main bios. Likewise the need for an onboard controller in flash memory (like SanDisks) may be less necessary if the computer's main bios allows the main CPU to regulate flash memory thereby eliminating the flash memory controller. Intel will sell more flash memory if they're able to also use the NOS as well as M-systems OS codes in their main computer bios systems. This should be an exciting time.

Oh, Pat called me at home, however I was at work.
