Take a look at the balance sheet from the last quarterly statement (10-Q)... siliconinvestor.com If you take out the goodwill, essentially the book value is zero. I have no definite knowledge of a pending writedown of goodwill, but many companies have been doing it. It will not affect cash flow, but of course if you are expecting a buyout, you need to look realistically at what the company is worth, exclusive of goodwill and other intangibles. The PR from June 13 you refer to does look as if it is a standard "poison pill" for unfriendly takeovers.
