Someone who goes for Suzman fodder... chuckle. Actually crossed the Charles River this past Friday after missing the Rt 128 turnoff to Gloucester.

Two likely responses, Rick:

a lot more than a couple o' hundred bucks--that's way low just for the SEC filing fees. SEC review time--one filing easier to shepherd through the SEC. And lawyers, as you know, ain't cheap. Easier, cheaper, to do it once.

second reason, function of the first, with a twist: the registration of both the PS and VPHM shares are on the S-3, which incorporates by reference to subsequent SEC filings (10-Q's, 8-K's and 10-K's), including the financial statements. Every time you file those, VPHM has to indicate the (prior filed) registration statements into which those periodic filings are incorporated. Easier to keep the list short, cuz if you miss one, you have, almost by definition, allowed the S-3 to omit to include material information.

The source of the Suzman fodder may have a different take.
