This is to advise that, due to the non-compliance of some NASD member firms, Amazon Natural Treasures.Com, Inc. is unable accurately to state stockholders equity and is therefore unable to file the Form 10K required by the Securities Act of 1933 and 1934.
The NASD is also advised that some NASD member firms have failed to comply with NASD (UPC #015-2001) dated February 27, 2001 either by failing to contact the issuer regarding the surrender of shares or by not surrendering all of the shares of all of their beneficial shareholders of record. Some NASD member firms have failed to comply with NASD (UPC #036-2001) dated April 10, 2001 whereby these member firms have failed to deliver all of the shares that they have sold to beneficial shareholders by the deadline of April 15, 2001 as required by NASD (UPC #036-2001). These member firms have also not taken immediate steps to check their internal positions and existing "fails to deliver" in order to ensure proper delivery.
Further, some NASD member firms are not in compliance with NASD Rule 2260, which requires that member firms forward to the beneficial owners of shares all information transmitted to them from the issuer for the purpose of dissemination to the beneficial owners. Accordingly, to ensure that shareholders are fully and properly advised, Amazon Natural Treasures.Com, Inc. requests that all NASD member firms provide Amazon Natural Treasures.Com, Inc. with the name, address and total position of all of the beneficial holders of record on their books and records.
Some NASD member firms are not complying with the NASD Rule 15c 3-3 in that they have failed to deliver physical stock certificates to the beneficial holders within the time frame allowed by NASD Rule 15c 3-3.
On September 28, 1998, Amazon Natural Treasures.Com, Inc. announced a 5% restricted stock dividend to be disseminated to all stockholders of record. However, due to the non-compliance of some NASD member firms as stated herein, the company is not yet able to issue its planned dividend
Thus, the continued failure of NASD member firms to comply with all NASD and SEC rules and regulations is continuing to cause immediate and irreparable harm to Amazon Natural Treasures.Com, Inc. and its shareholders. |
