JOINT NEWS RELEASE

CALGARY, ALBERTA, June 17, 1997 - As previously announced by MACDONALD
MINES EXPLORATION LTD. (MMP.A-ASE) on June 6, 1997 and in anticipation of
MacDonald receiving acceptable terms of regulatory approval for the
proposed take-over bid to acquire the issued and outstanding shares of
GOLDEN HILL MINING CORP. (GHMC-CDN), MacDonald, Golden Hill and MILL CITY
GOLD MINING CORP. (MIY-VSE) have agreed to terminate the outstanding legal
actions in connection with the pending take-over. All parties remain
optimistic that regulatory approvals will be forthcoming in the near
future, thereby permitting MacDonald to proceed with its formal take-over
bid to all of the Shareholders of Golden Hill.

Perhaps with this Legal Scuffle coming to an end, we may finally see (I hope) some movement away (thats up in shareprice by the way!) from our current price at about the 52-week low of .16 since we closed at .17 today! It would seem that we should have only one way to go and that had better be UP! Good Luck All, Ron.
