[Another take]Hong Kong's Siis LTD & E2 Capital Enter Office Support Agreements Thursday July 19, 7:09 PM HONG KONG, July 19 Asia Pulse - SBI E2, a subsidiary of Softbank Investment International (Strategic) Limited [SIIS] (SEHK:0648), and E2-Capital have entered into a back office support agreement and an office space sharing agreement. E2-Capital will provide back office support services to, and share certain office space in the Henley Building with the SBI E2 Group. E2-Capital is an indirect holder of 49 per cent in SBI E2, SIIS said in a press statement. Accordingly, E2-Capital is a substantial shareholder of SBI E2 and a connected person of SIIS. The entering into of the back office support agreement and the office space sharing agreement by SBI E2 therefore constitute connected transactions for SIIS. Because the connected transactions are expected to occur on a regular and continuous basis in the ordinary and usual course of business of the SIIS Group, SIIS has made an application to the Stock Exchange in respect of the connected transactions from compliance with the annual disclosure requirement under Rule 14.25 of the Listing Rules. The board of directors (including an independent non-executive director) of SIIS are of the view that the terms of the agreeements are fair and reasonable, on normal commercial terms and in the commercial interest of the SIIS Group.
