(Infocast News) Hutchison Whampoa Limited (0013) (HWL) and ICG Asia Limited (0715) jointly announced that the offers in relation to HWL's acquisition in ICG Asia closed at 9:30 a.m.. As at 4:00 p.m. yesterday the offerors, comprising HWL and Luk Chung-lam's family, together with parties acting in concert with them, own approximately 71.76% of the issued share capital of ICG Asia. And the listing status of ICG Asia will be retained.

The offerors made a general offer to ICG for the 53.8% stake in ICG Asia at $0.25 per share. As at yesterday, Promising Land International (PLI), which represents HWL, transferred 117,187 ICG Asia shares to Reading Investment Limited (RIL), which is owned by Luk's family, such that such shares are acquired by PLI and RIL in the proportion of 2:1 as stated in the composite document.

Up to 4:00 p.m. yesterday, the offerors received valid acceptances of the share offer in respect of 3.019 billion offeree shares in aggregate, representing approximately 53.82% of the issued share capital of the voting rights which may be exercised and approximately 65.58% of the offeree shares in respect of which the share offer is made.

To sum up, the offerors owned approximately 15.68% of the issued share capital of the offeree before the commencement of the offer period. As at 4:00 p.m. yesterday, including the acceptances received which are subject to verification, the offerors hold about 3.899 billion offeree shares in aggregate, representing approximately 69.5% of the issued share capital of the offeree and of the voting rights. Therefore, the offerors together with parties acting in concert with them own 4.025 billion offeree shares, representing approximately 71.76% of the issued share capital of the offeree and of the voting rights. In addition, the offerors own two offeree warrants.
