Company Profile

Thaon was organized in March 1999 and has two locations in Los Angeles and one in San Luis Obispo, CA. The company employs 35, is fully reporting and trades on the NASDAQ bulletin board and the Berlin Stock Exchange. The company currently operates through two business units; CastPro.com and Prime Time Sports TV.

CastPro.com is an internet production and broadcasting company operating out of live digital production studios and on location from mobile studios utilizing wireless technology. The company was built on the development of Remote Webcast Technology (RWT), which permits the broadcast of live events from professional mobile production units with high-speed wireless technology. This capability significantly reduces the cost of on-location live webcasts. Industry observers place the current market for webcasting at $800 million to $1 billion. Clients include Microsoft, iBeam, Viewcast, and Infinity Broadcasting.

Prime Time Sports TV (PTSTV). PTSTV is an industry leader in media planning and placement, maintaining a specialty in short form direct response advertising and infomercials. Founded in 1996, Prime Time provides a complete media planning and placement solution for its clients who include Tae-Bo Aerobics, Cleveland Golf, and Sony. Access to CastPro’s streaming technology has expanded the revenue opportunities for Prime Time by providing the marketing gateway to the internet.

Business Strategy
The first phase of the Company’s business strategy was the establishment of CastPro.com and its proprietary Remote Web Cast Technology as the principal company in terms of technology and market acceptance. This has been accomplished, which allowed the company to initiate an aggressive acquisition campaign. The acquisitions are purchased with equity and each principal is nominated to serve as a director of Thaon Communications.

The ideal acquisition model contains the following criteria:

The acquisition of Prime Time Sports TV (PTSTV) combined Castpro.com’s production capabilities and distribution network with PTSTV marketing and media expertise, extensive client channels, solid growing revenue base and the opportunity to expand earnings percentages. Prime Time and CastPro are currently in the process of developing an expanded Internet audience by utilizing Prime Time’s proven marketing techniques to create demand for streaming technologies.

Future Acquisitions - Thaon is currently in active negotiations with companies located in the United States, Australia, and Asia, as well as a directive to seek candidates in Europe. The company intends to develop or acquire technology products specific to or relating to the field of music, streaming of legal events, corporate communications, artificial intelligence, interactive technology, and technologies specific to the convergence of the Internet and Television.

The Security and Exchange Commission’s (SEC) regulation FD, issued in August 2000 a directive, which prohibits selective disclosure. This regulation will provide a tremendous marketing opportunity for CastPro.com to stream corporate financial information, which allows companies to comply with the new disclosure requirements. Additionally, the company intends to make a concentrated effort on the advertising budgets of the mutual fund industry. Mutual funds are permitted to use 12-b-1 (management) fees for advertising expenses, providing a $2 billion market.

The company has covered numerous live events including the Democratic National Convention, NCAA sports events, live concerts including Limp Bizkit for Napster, National Association of Broadcasters, Time Warner and Infinity Broadcasting.

Mr. Adam Anthony is a graduate of Saginaw Valley State University where he earned a Bachelor of Business Administration degree as well as earning All-American and Academic All-American golf honors in 1989. After a five-year stint as a touring golf professional, he played a principal role in successfully commercializing the Gravity Golf teaching technique.

Faced with a variety of demands for his vision and marketing talents, he co-founded Prime Time with Mark Jones in 1996, preferring an agency environment over a project based career path because it offered the greatest opportunity to work with a diversity of companies and learn about the marketplace as a whole more comprehensively and much faster than would have been possible by working with just one or two projects per year. Mr. Anthony has been the organizational and philosophic backbone of the company as its CEO and his vision and strong leadership have aided Prime Time’s growth. Robert S. McNeill - Director and Chief Financial Officer - Thaon Communications
Mr. McNeill is a seasoned executive with more than 24 years experience in corporate finance and financial services. He has led two successful start-ups with a domestic and international bank and founded a successful marketing firm. From 1970 to 1984, Mr. McNeill served as Regional Vice President of Security Pacific National Bank where he managed the Financial Institutions Department and implemented the bank’s Private Banking Department. From 1984 to 1990, he served as Senior Vice President of Sanwa Bank, California, where he developed and implemented business development strategy and corporate finance operations for the Midwest. From 1990 to 1994, he served as Regional Vice President for Pacific National Bank. At Pacific, he was the transition team leader of S&L acquisitions and successfully transformed the S&L operations to commercial banking. From 1994 to 1994, he served as Vice President and Commercial Banking Administrator of Guardian Bank where he managed the Commercial Banking Department. Mr. McNeill was founder and Chief Operating Officer of Eclipse Marketing Group, an integrated marketing firm.

Cameron Moriarty - Director - Thaon Communications
Mr. Cameron has won many awards for his advertising and marketing campaigns, including several Lotus Awards, a Graphix, and a Clio. A graduate of the Sheridan College Fine Arts three-dimensional design program, Cameron has done post-graduate work in animation at Sheridan¹s School of Design and in advertising at MIT. Mr. Moriarty has extensive experience in advertising and marketing, including stints as a principal at Moriarty-Hennessy Advertising and Vice President, Creative Director at Foote Cone Belding. His creative assignments have included such accounts as Air Canada, Pizza Hut, Wendy’s, Pearle Vision, BC Tel, Government of BC, Realty World and Air BC. Mr. Moriarty also spent two years as Vice President of Leone, a major high-end clothing retailer, and three years as Vice President and Director of Marketing at the Superstar Group of companies, a $100 million chain of sportswear stores.

Mr. Hackett is the President, CEO and Director of EnSurge, Inc., a Technology Holding Company. Prior to serving in this capacity, Mr. Hackett was the President of Fortune Financial where he also held the positions of Director, Secretary and in an Executive Vice President capacity. Additionally, He served as President of MarketComm and was responsible for all marketing and advertising for the Company. Mr. Hackett was Vice President of Marketing, Financial Services and Broadcasting for the Group of Companies where he oversaw the growth and development and financial training companies.

Mr. Hackett began his career in electronic media, having been responsible for the creation and production of several nationally syndicated radio shows, including “Baseball Sunday with Joe Garagiola,” “Football Sunday” and NBA Basketball Sunday. As President and General Manager, He has managed Radio Stations KGU-AM in Honolulu, Hawaii, KTSS-FM in Honolulu, Hawaii and WTIX-AM in New Orleans.
