Bill, I will bet you one more dinner that we will see closure by the end of this quarter(2-4weeks)! Why? Because NXTL's current share price is making the deal look very attractive. Current 20 day average is $14.37 and dropping quickly. My guess remains between $1.00 and 1.40 per share. If you go back to the August 22, 2000 report they noted 113.5 mil would be available for distribution to shareholders. Subtract 30 mil (from the 3rd amendment) and you have 83.5. As we know, shares could be any where from 56 low to 80 mil max.

Nextel Partners Registers To Offer $230M Of Cl A Cmn Stk

WASHINGTON -- Nextel Partners Inc. (NXTP) filed to offer up to $230 million of Class A common stock.

According to a registration statement filed with the Securities and Exchange Commission Friday, net proceeds will be used for expanding the company's coverage capabilities, future acquisitions, the introduction of services and sales and marketing expenses.

An unspecified amount of stock will be sold by certain shareholders, who will receive the proceeds from the sale.

Credit Suisse First Boston, Deutsche Banc Alex. Brown, CIBC World Markets, Salomon Smith Barney and UBS Warburg will underwrite the offering.

Nextel Partners is the U.S. affiliate of Nextel Communications (NXTL) and holds exclusive rights to provide Nextel's three-in-one digital wireless communications services to small and mid-sized markets.
