Q&A Gary do you think the RB SOCT FUDs are in league with the Senior Debenture Holders of SOCT to keep CBQI’s stock price so they would not have to share the wealth of the 7.8M shares in escrow with SOCT shareholders?

First and for most is there is not 7.8M in SOCT escrow. There is 6.15M that will remain in escrow; 150,000 was paid to settle a court scenario of SOCT and 1.5M will be returned or not issued or whatever to CBQI.

As far as RB, I will address that in a separate post with all the other comments concerning RB.

Does Bart plan on addressing the short position by calling certs, or issuing a dividend or something?

Bart plans on growing the business and deal with things that he can do something about. The market is a completely separate scenario that he has no control over. In all my years in the OTCs I have learned one thing. All stocks are shorted either off shore or by MMs. Makes no difference and numerous scenarios have been attempted to force a short to cover such as changing cusip, dividends some in non public traded scenarios, forward splits, you name it and none of them work. There is only two ways that work, taking shares out of the market that will not come back into the market or constant buying pressure.

Do you have any idea how much financing CBQ may need to start as a China import distributor?

The figures I have heard is Bart has been looking for $5-$10M as per the announcements.

Has CBQ had a bunch of senior management changes?

Hmmm … Lets see senior management Mike Sherriff was replaced by John Harris August 1999. John Harris did not wish to relocate to Washington so he resigned June 2000. John Moran replaced John Harris in August 2000 and John Moran December 2000. Bart is still there and Russell as COO. Bart has filled the executive spot during the times of void. I am sure more management changes will occur and this progresses forward. This is not unusual and should be expected, especially when a company is in the merger acquisition mode and getting a lot of chiefs. Weeding out the chiefs is a have to do to and typically results in significant enhancements to company performance and shareholder value.

Not just start-up companies either but even Fortune 100 companies hire consultants to assist them in developing and refining business operations and strategies. Top executives leave during the process of refining the business model.

Why has CBQ had so many accounting firms?

It had the one in Dallas until the one we have now. CBQ’s Dallas accountant basically retired just after the Quantum acquisition and thus Bart asked Grant Thornton who was Quantum’s accounting firm to be the accountants. CBQ was approved but shortly after the 8K during the SOCT acquisition negotiations it was discovered that Grant was also SOCT accountant and with all that is happening with that Grant became a conflict of interest and Bart was forced to get the present accountants. Grant Thornton to my knowledge prepared no filings.

Has CBQ had a lot of acquisitions that did not perform?

Hmmm … discontinued Reliance/TophnerNet (March 1999 – Nov 2000) due to not making a profit, Bid4It auction site never became a reality, & priority One was carrying its weight but not sure where it is now. But those were the original acquisitions before Bart.

I was going to ask about the business plan but I see where you addressed that already so why is CBQ always late with their filings?

The business plan has remain constant since December 1999. As far as the NTs good question and that is something I have no answer for.

When do you expect the poor financials to improve?

Bart was hoping for this last quarter but apparently the audit is not quite what he thought it would be. However, the company did survive on its cash flow and even paid $400,000.00 to the creditline and ended the quarter with 197K in the back with over 900K in receivables. Basically, that is something I cannot predict or project.
