From the aforesaid SEC document: "The 5,412,191 shares(of Intercell)
will be distributed to the beneficial owners of the common shares
of Energy Corporation as of 8 July 1996."

Of the business glossaries consulted, I found only circular type
definitions of the key italicized phrase, e.g., "beneficial owners
are those who derive benefit from ownership", or some such
rubbish. [Given that definition of "beneficial ownership" and the
dearth of benefit accruing, thus far, to most of us here vis a vis
these Vancouveresque creations, the philosopher may dispute
whether any of us are "beneficial owners."]

Why is everything this company does so d**n complicated and
confusing?

No matter duckets or ducats, one doesn't need a Comrade Clinton
to "feel the pain" here. Losing money is never a pretty experience.
