I'm without a clue about the specifics of your problem, but I do have a suggestion...

Windows comes with a generic CD ROM driver OAKCDROM.SYS which you can try in place of your ATAPICD.SYS with very little effort.

On my system, the OAKCDROM.SYS file is located in the C:\WINDOWS\COMMAND\EBD folder. I think it gets copied to Emergency Boot Disks, but I'm not absolutely sure.
